Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Janaka AI Technologies Pvt. Ltd. (“Janaka”) and govern your access to and use of our websites, applications, APIs, and services (the “Services”). By accessing or using the Services you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, to use the Services. If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Accounts

You are responsible for safeguarding your account credentials and for all activities under your account. You must promptly notify us of any unauthorised access or use.

3. Acceptable use

• Comply with all applicable laws, including the Information Technology Act, 2000 and the DPDP Act, 2023.
• Do not interfere with, disrupt, or attempt to gain unauthorised access to the Services or related systems.
• Do not use the Services to infringe intellectual property, publish unlawful content, or violate another person's rights.
• Do not use the Services to develop a competing product or reverse-engineer our technology except as permitted by law.

4. Customer data & privacy

Your use of the Services is subject to our Privacy Policy. Where you upload personal data to the Services, you act as the Data Fiduciary and we act as the Data Processor under the DPDP Act. A Data Processing Addendum is available on request.

5. Fees & taxes

Paid Services are billed as set out in your order form. All fees are exclusive of GST and other applicable taxes, which will be added at the prevailing rate. Late payments may attract interest and suspension of the Services.

6. Intellectual property

The Services and all associated intellectual property are and remain the exclusive property of Janaka and its licensors. You retain ownership of the data you submit to the Services. You grant us a limited, worldwide, royalty-free licence to use such data solely to provide, secure and improve the Services.

7. Confidentiality

Each party will protect the other's confidential information with the same degree of care it uses for its own, and in any event no less than reasonable care.

8. Warranty disclaimer

Except as expressly stated, the Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Janaka disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill. Each party's aggregate liability under these Terms will not exceed the fees paid or payable by you in the twelve (12) months preceding the event giving rise to liability.

10. Indemnification

You agree to indemnify and hold Janaka harmless from third-party claims arising out of your misuse of the Services or violation of these Terms.

11. Suspension & termination

We may suspend or terminate the Services if you materially breach these Terms or if suspension is required by law. Upon termination your access will cease and, subject to any legal retention obligations, we will delete your data.

12. Governing law & dispute resolution

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms will be resolved exclusively by the courts at Hyderabad, Telangana, subject to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Hyderabad.

13. Changes

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
